Powerus Set to Complete Merger and Become Nasdaq-Listed Drone Company

Defense technology and autonomous systems developer Powerus is on track to finalize its long-anticipated merger with Aureus Greenway Holdings Inc. on October 1, 2026. The high-profile transaction will officially transition Powerus from a privately held entity into a publicly traded company on the Nasdaq Capital Market, providing the defense contractor with a robust public-market platform as it looks to rapidly scale its U.S. manufacturing operations and meet escalating international demand for unmanned systems.

Powerus, which was formerly known as Autonomous Power Corporation, specializes in the design, engineering, and deployment of advanced autonomous and unmanned systems tailored for modern defense operations and various commercial applications. Under the terms of the definitive merger agreement, Powerus will merge directly into a subsidiary of Aureus Greenway Holdings, commonly referred to as AGH. The combined enterprise has also drawn significant commercial and financial attention, counting prominent investors Eric Trump and Donald Trump Jr. among its backers.

Following the successful completion of the transaction, Aureus Greenway Holdings will officially change its corporate name to Powerus Corporation. Common shares of the newly combined entity are expected to maintain uninterrupted trading under the Nasdaq ticker symbol PUSA. In proactive preparation for the business combination and the eventual transition to the public markets, AGH had already updated its ticker symbol to PUSA earlier this year.

The two companies first announced their definitive merger agreement back in March, initially anticipating that the corporate consolidation would be finalized during the summer months. While the timeline experienced a slight shift, regulatory clearance has since been secured. The U.S. Securities and Exchange Commission has formally declared effective the Form S-4 registration statement concerning the merger. Company representatives note that the ultimate closing of the transaction remains dependent upon the satisfaction or waiver of remaining customary conditions outlined in the original merger agreement.

Matthew Saker, Interim Chief Executive Officer of Aureus Greenway Holdings Inc., expressed continued optimism regarding the impending corporate milestone. "We continue to look forward to closing the combination with Powerus," Saker stated. "I believe it reflects the exciting future ahead for our shareholders as we join forces with a company at the forefront of autonomous defense technology."

Scaling Drone and Counter-UAS Production

The milestone Nasdaq listing arrives at a critical juncture for Powerus, as the defense technology firm aggressively works to expand its manufacturing footprint, build out scalable supply chains, and satisfy a growing volume of domestic and international defense procurement requests.

"Completing this transaction puts Powerus in a position to build at the scale our customers are asking for," said Andrew Fox, Chief Executive Officer of Powerus. Emphasizing the operational continuity of the firm, Fox added, "Our focus does not change on October 1. The work is the same work."

Powerus maintains a diverse product portfolio that encompasses tactical reconnaissance and strike drones, heavy-lift aerial transport aircraft, advanced maritime autonomous systems, cutting-edge counter-unmanned aerial systems technology, and integrated mission control systems. Beyond its proprietary hardware engineering, the company has actively pursued collaborative partnerships focused on autonomous coordination, multi-domain integration, and sophisticated drone swarming capabilities designed for contested environments.

Recent high-value contract awards and procurement orders provide substantial context for the company’s aggressive production plans and commercial momentum. Among its recent milestones, Powerus reported receiving a purchase order valued at approximately $2.5 million from a major defense prime contractor. This specific order calls for the delivery of 1,500 domestically manufactured first-person view aircraft, complemented by comprehensive pilot training provisions and critical spare-parts kits.

In addition to tactical FPV orders, the company secured a significant U.S. Air Force indefinite-delivery/indefinite-quantity contract specifically for its Guardian-2 counter-drone interceptor system. The IDIQ contract features a substantial ceiling value of up to $90 million and extends its performance window through mid-2028. Industry observers note that an IDIQ contract ceiling represents the maximum potential cumulative value of orders that can be placed under the vehicle rather than a guaranteed spending commitment from the government.

Powerus has also begun carving out a presence in international defense markets. Earlier this month, the firm announced a limited procurement order originating from Pakistan’s Ministry of Defence. The agreement covers the supply of unmanned aircraft systems along with associated operational support, though specific financial terms and volume details of the international procurement were not publicly disclosed by the companies.

Moving Into the Public Markets

The corporate transaction represents a unique pathway to the public markets, differing notably from a traditional initial public offering. Rather than undergoing a standard IPO process, Powerus is achieving its public status by combining with an existing, publicly traded Nasdaq-listed shell company. For Aureus Greenway Holdings, the merger marks an extraordinary strategic pivot, as the company’s historical business operations have centered on the ownership and management of golf courses located in Florida.

For the leadership team at Powerus, the transition to a publicly traded platform is viewed strictly as a financial and operational vehicle to better serve end-users operating in high-stakes environments.

"I spent most of my career as the person relying on this equipment in the field," reflected Brett Velicovich, Co-Founder of Powerus, drawing upon his operational background. "That is the standard we build to, and it does not change because the company has a listing."

With regulatory hurdles cleared and the final procedural milestones nearly complete, the merger is slated to officially cross the finish line on October 1, assuming all remaining closing conditions are met. The finalized corporate combination will equip Powerus with a permanent public-market platform and enhanced capital access as it continues scaling the manufacturing of autonomous defense systems for modern military and security requirements.
